Welcome to Waabot! These Terms of Service ("Terms") govern your use of the Waabot platform and services. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.
1. Platform Definition
Waabot is a cloud-based messaging automation and broadcasting platform that allows businesses to connect WhatsApp, Facebook Messenger, Instagram, and other messaging channels to manage conversations, automate communication flows, and send broadcasts to their customers and prospects.
2. User Eligibility
To use Waabot, you must:
- Be at least 18 years of age
- Have the legal right and authority to use Meta/WhatsApp Business accounts
- Not be prohibited from using our services under applicable laws
- Comply with all platform rules and policies
3. Account Responsibilities
As a Waabot user, you are responsible for:
- Keeping your login credentials secure and confidential
- All activities that occur under your account
- Ensuring you have proper consent to message recipients
- Complying with WhatsApp Business API terms, Meta policies, and all applicable laws
- Notifying us immediately of any unauthorized use of your account
4. Acceptable Use Policy
You are strictly prohibited from using Waabot for:
- Spam and Unsolicited Messages: Sending spam or bulk unsolicited messages to recipients who have not opted in
- Harmful Content: Distributing adult content, scams, phishing attempts, or fraudulent materials
- Harassment: Hate speech, threats, harassment, or discriminatory content of any kind
- Deceptive Practices: Deceptive, misleading, or false advertising and promotional content
- Automated Abuse: Automated harassment or abusive messaging campaigns
- Illegal Activities: Any illegal activities or violations of applicable laws and regulations
Waabot reserves the right to suspend or terminate accounts that violate this Acceptable Use Policy without prior notice.
5. Broadcasting Rules
When using Waabot's broadcasting features, you must:
- Opt-in Requirement: Only message users who have explicitly opted in to receive your communications
- Opt-out Option: Provide a clear and easy opt-out option in every broadcast message
- Platform Compliance: Respect all platform-specific rules (WhatsApp Business Policy, Meta Commerce Policy, Instagram Terms)
- No Scraped Lists: Never use scraped contact lists or purchased contact databases
- Honor Opt-outs: Honor all opt-out requests immediately and maintain updated opt-out lists
6. Data and Content Ownership
You retain ownership of all content, messages, and data you upload to or create through Waabot. However, by using our services, you grant Waabot:
- Service Provision: The right to process, store, and transmit your content to provide our services
- Content Moderation: The right to remove content that violates these Terms or applicable platform policies
- Data Protection: The right to backup and secure your data for service continuity and disaster recovery
7. Service Availability
While we strive to maintain reliable service, Waabot does not guarantee 100% uptime. We are not liable for:
- Third-party Downtime: Service interruptions due to Meta/WhatsApp API downtime or maintenance
- Delivery Failures: Message delivery failures due to recipient settings or platform restrictions
- Account Restrictions: Account suspensions or bans imposed by Meta, WhatsApp, or other third-party platforms
- Maintenance: Temporary service outages for system maintenance or security updates
8. Payments and Refunds
- Billing: All subscriptions are billed in advance according to your selected plan
- No Refunds for Violations: No refunds will be provided for account suspensions due to policy violations or third-party platform bans
- Price Changes: Subscription prices may change with 30 days' advance notice
- Cancellation: You may cancel your subscription at any time; service will continue until the end of your billing period
- Past Due Accounts: Past due accounts may be suspended without notice until payment is received
9. Termination
Waabot reserves the right to suspend or terminate your account immediately for:
- Policy Violations: Violations of these Terms of Service or Acceptable Use Policy
- Abusive Behavior: Abusive behavior or misuse of the platform
- Fraudulent Activity: Fraudulent activity or payment disputes
- Legal Risks: Legal risks to Waabot or other users
Upon termination, you may request a data export within 30 days. After this period, your data may be permanently deleted.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAABOT SHALL NOT BE LIABLE FOR:
- Business Losses: Lost profits, revenue, or business opportunities
- Operational Disruption: Business losses or interruptions caused by service issues
- Data Issues: Data loss, corruption, or unauthorized access
- Platform Bans: Account bans or suspensions imposed by third-party platforms (Meta, WhatsApp, Instagram)
- Consequential Damages: Indirect, consequential, special, or punitive damages
Our total liability to you for any claim shall not exceed the amount you paid to Waabot in the 12 months preceding the claim.
11. Meta & WhatsApp Compliance
IMPORTANT: Waabot is not affiliated with, endorsed by, or officially connected to Meta Platforms, Inc., WhatsApp LLC, Facebook, or Instagram. Users must comply with all platform-specific terms of service, business policies, and community guidelines. Waabot is not responsible for account suspensions, bans, or restrictions imposed by these platforms due to user violations of their policies.
12. Intellectual Property
Waabot and its logos, features, and functionality are owned by Waabot and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of our platform without explicit written permission.
13. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Waabot, you consent to the data practices described in our Privacy Policy.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Nigeria. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
15. Changes to Terms
We may update these Terms periodically to reflect changes in our services, legal requirements, or business practices. We will notify you of material changes by posting the updated Terms on our website or through email notification. Your continued use of Waabot after such changes constitutes acceptance of the updated Terms.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Waabot regarding your use of our services.
